Ltd. website (“Zensung”) and/ or Joinparrot website (“Parrot”) and all its pages, collectively referred to as either (“our websites” or “Zensung websites” or “Parrot websites”) and/or by downloading, browsing, or using any mobile applications belonging to Zensung or Parrot (referred to as either “our mobile applications” or “Zensung Mobile Applications” or “Applications“ or “App” or “Parrot App”), you agree to be bound by the Terms and Conditions below. If you do not agree to the Terms and Conditions below, please refrain from downloading, browsing, accessing, or using our websites and/or our mobile applications.

Our websites and our mobile applications also provide users access to a large collection of online resources, including but not limited to various communication tools, online forums, commercial services, platforms, rewards or treats redemption, personalised content, and information (collectively “online facilities”).

Please read these Terms and Conditions carefully as they, together with our Privacy Policy and your Duty of Disclosure (together called 'Terms of Use’) govern your use of our websites, our mobile applications, online facilities, and pages.

Our websites are owned and operated by Zensung Singapore Pte. Ltd. and Zen Innovate Pte.Ltd.

We do not implicitly or explicitly support or endorse the sale or purchase of any products or services on our website, our mobile applications, or online facilities.

Use of our websites, our mobile applications, or online facilities is at your own risk, and we do not warrant that:

We shall in no event be liable for any damage, loss, or expense including without limitation, direct, indirect, special, consequential, punitive, or economic loss, arising from or in connection with:

Without prior notice to you, we may suspend or restrict access to our websites, our mobile applications, or online facilities from time to time to allow for repair or maintenance or for the introduction of new facilities or services

User Conduct

We are not liable if you lose any content or material when using or uploading, or transmitting it through our websites, our mobile applications, or online facilities.
We also cannot guarantee that we can or will provide a particular product or service at any particular time or price, or place or that a product will be available at any time. We do not accept liability for withdrawing a product or service or for rejecting your application for a product or service for any reason.

We (including all of our employees, officers, and directors, our subsidiaries, affiliates, and their respective officers, directors, agents, and employees) shall not be liable and exclude all liability in contract, tort (including negligence), statutory duty, or otherwise to any person or company for any direct or indirect economic losses or any loss of revenues, data, profits, contracts, use, opportunity, business or anticipated savings; goodwill or reputation or any special, incidental, consequential loss or damage, suffered or incurred arising out of or in connection with use of our websites, our mobile applications or online facilities (even if they are notified to us); or non-compliance with or breach of these Terms and Conditions.

Indemnity

You shall indemnify and hold harmless, Zensung, its subsidiaries, affiliates, and their respective officers, directors, agents, and employees from any claim or demand or actions, including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms and Conditions, or your violation of any law, rules, regulations or the rights of a third party.

If you breach any of these Terms and conditions(including, without limitation, as a result of a falsified consent), you agree to indemnify us for any and all losses that we may suffer and for any costs and expenses that may be incurred by us as a result from or consequence of your breach.

You waive any and all rights to sue Zensung, its subsidiaries, affiliates, and its respective officers, directors, agents, and employees or to participate in any class action suit for any losses alleged or otherwise arising from your use and access of our websites or our mobile applications or online facilities or your inability to use and access our websites or our mobile applications or online facilities.

If you breach these Terms and Conditions and we do not take immediate action against you, we are still entitled to enforce our rights and remedies in respect of any such breach or any subsequent breaches.

Account and Password

When you register through our websites, our mobile applications, or online facilities, you voluntarily agree to provide current, complete, accurate, and true information as prompted by the applicable online registration forms. If you provide any information that is untrue, inaccurate, or incomplete, or if we have any reasonable grounds to suspect so, we reserve the right to suspend or terminate your account and refuse you any current or future use of any of our services including our online facilities.
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or phone to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure. You agree to (a) inform us immediately if you have reason to believe your password has been compromised or is being used in an unauthorised or illegal manner and (b) ensure that you properly log out of your account at the end of each session.
We will not be liable for any loss that you may incur as a result of a third party using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by us for any wrongful use of your account or password. You may not use any other person’s account at any time without the express permission of that person.

Our Platform

You agree, understand, and acknowledge that our websites, our mobile applications, or online facilities may provide users access to a large collection of online resources, including but not limited to various tools that may enable you to generate quotations, purchase policies, submit claims, redeem rewards at any time from any location. You further agree and acknowledge that Zensung or Parrot is only a facilitator and is not and cannot be a party to or control in any manner any transactions on our websites, our mobile applications, or online facilities. Accordingly, the contract of sale of policies through our websites, our mobile applications or online facilities shall be a strictly bipartite contract between you and the insurers.

Use of Online Facilities

Our websites, our mobile applications, and online facilities may contain e-mail services, notices, bulletin boards, communities, chat areas, news groups, forums, and/or other communication facilities. You agree to use these communication facilities to post, send and receive messages and material that are not offending in any manner. You will not:

Use the communication facilities in connection with surveys, contests, pyramid schemes, chain letters, junk emails, spam, or any duplicative or unsolicited messages (commercial or otherwise).
Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful photo, video, name, material, or information.
Publish, post, upload, distribute or disseminate any topic, name, material, or information that incites discrimination, hate, or violence towards one person or a group because of their belonging to any race, religion, or nation.
Upload, or otherwise make available, files that contain images, photographs, software, or other material protected by intellectual property laws, including, for example, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consents to do the same.
Use any material or information, including images or photographs or videos, which are made available through our websites, our mobile applications or online facilities in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
Upload files that contain viruses, trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.
Use of meta tag searches on our websites or our mobile applications.
Advertise or offer to buy or sell any goods or services for any purpose unless such activities are allowed by prior written consent from us.
Download any file posted by another user or reasonably should know, which cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations, or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the facilities.
Violate any applicable laws or regulations or any code of conduct or other guidelines that are applicable for any particular communication facilities.
Create a false identity for the purpose of misleading others.
Download, copy, or provide (whether or not for a fee) to a person any directory of users from our website, our mobile applications or online facilities, or other user or usage information.

While we have no obligation to monitor the communication facilities, we reserve the right to review materials posted and to remove any materials at our sole discretion.

We also reserve the right to terminate your access to any or all of the communication services at any time, without any notice, for any reason whatsoever.

We further reserve the right to disclose any information as we deem necessary to satisfy any applicable law, regulation, or legal process or to edit, remove, or refuse to post any information or materials in our sole discretion. We specifically disclaim any liability with regard to the communication facilities and any actions resulting from your utilising any of the communication facilities.

Restrictions of Use

You must not use our websites, our mobile applications, or online facilities in any way that causes or is likely to cause access to our websites, our mobile applications, or online facilities to be interrupted or impaired in any way. You acknowledge and agree that you are responsible for all electronic communications sent from your device, computer or mobile device or from your account.

When you use our websites, our mobile applications, or online facilities, you will not either directly or indirectly or with or by any third party:

Do anything which may disrupt access to, cause damage, disable, overburden, impair or interfere with the proper working of our websites, our mobile applications, or online facilities or its network.

Interference or entry to our websites, our mobile applications, or online facilities with intent to corrupt, damage or deny service from our websites, our mobile applications, or online facilities or for other commercial benefit shall be taken very seriously, and we shall take such action as is necessary to protect our websites, our mobile applications or online facilities from any such activities and to protect our intellectual property rights.

You acknowledge that damages may not be an adequate remedy for any infringement of such rights by you and that we are entitled to the remedies of injunction, specific performance, orders to deliver up infringing copies, and any other statutory or equitable relief for any threatened or actual infringement and that no posting of security or proof of special damages is necessary for reliance on such remedies.

Product terms and conditions

The content of our websites, our mobile applications, or online facilities does not always constitute an offer by us to sell products and/or services.

You can make certain transactions like purchasing a policy, administering a policy, making a renewal payment, or other transactions through our websites, our mobile applications, or online facilities.

Your request to purchase a product or service represents an offer by you that we may accept or reject on such terms and conditions and normal approval criteria in force at the time of our acceptance. These transactions will not be final until we receive and process your confirmation.

Your confirmation, in this case would mean after the receipt of payment from you and communication issued or transmitted by you to us through our websites, our mobile applications or online facilities, or such other means which contain your acceptance in relation to our offer.

All or any applications for a product or service detailed on our websites, our mobile applications, or online facilities are subject to and must comply with our normal approval criteria and are governed by the normal terms and conditions applying to each product or service requested.

A complete description of the product shall be included in the schedule of cover, policy documents, and/or conditions of purchase issued to you. Such documents may be either physical or electronic.

There may be some insurance documents that we cannot deliver electronically due to legal and technological constraints. These will be posted to you.

Where you are acting on behalf of any other person, you must ensure that you have the requisite permissions and consent from the other person to act on his/her behalf. You must also ensure that you and the other person have read and agreed to the Privacy Policy and these Terms and Conditions. If your payment is not successful, it may be for reasons including mechanical, telecommunications, or electronic failure or the omission or failure of other providers or systems which are outside our control. You acknowledge that we are not liable to you in any way for loss or damage, however caused, directly or indirectly, in connection with the transmission or submission of an electronic instruction through our websites, our mobile applications, or online facilities, or any failure to receive an electronic instruction for any reason.

It is your responsibility to inform us of any change to your email address. It is also your responsibility to keep your email account active and capable of receiving new emails. We are not responsible for emails sent to an inactive or out-of-date email account.

When you activate these links, you will leave our websites, our mobile applications, or online facilities. We don't approve or recommend or take responsibility for the content on these third-party websites or the availability of those websites, and we will not be liable for any loss or damage that you may suffer by using those websites. We don't approve or sponsor or recommend or take responsibility for any such third-party offers or third-party material associated with those offers, and we will not be liable for any loss or damage that you may suffer by using those websites for the offers, deals, or promotions. Termination

We reserve the right to suspend or terminate your account and refuse you any current or future use of any of our websites, our mobile applications, or online facilities in our sole discretion, without any notice, for any reason whatsoever, including where we have reasons to believe that you have breached or acted inconsistently with the Terms and Conditions.

You acknowledge that we will not be liable in any way to you or to any third party for any termination of your access to our websites, our mobile applications, or online facilities.

Monitoring of telephone calls and emails

Telephone calls and email correspondence with us as a result of your access to our websites, our mobile applications, or online facilities may be recorded for training purposes and to assist in the prevention of fraud. By using such communication methods, you are consenting to such activities taking place.

Jurisdiction and law

By accessing or using our websites, our mobile applications, or online facilities, you agree that such access and/or use, as well as the above Terms and Conditions, shall be governed by the laws of Singapore, including but not limited to the Electronic Transactions Act (Cap.88). You further agree to submit irrevocably to the exclusive jurisdiction of the Singapore courts.

No third party who has not agreed to be bound by these Terms and Conditions shall have any right pursuant to the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore or any equivalent law in any jurisdiction to enforce any of the above Terms and conditions.

If any provision of the Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck, and the remaining Terms and Conditions shall be enforced to the fullest extent under law.

Amendments and Acknowledgment

These are the current Terms and Conditions. They replace any previous Terms and Conditions published on our websites and our mobile applications.

We reserve the right to modify, update or amend the Terms and Conditions at any time. The updated version will be posted on our websites and our mobile Applications. You acknowledge that we are under no obligation to specifically notify you of any variation or amendments to the Terms and Conditions. It is your responsibility to review the Terms and Conditions regularly. You acknowledge and accept to be bound by such amendments, modifications, and updates to the Terms and Conditions, once posted, whether or not reviewed by you.

Notifications and Alerts

You agree to receive pre-programmed notifications or alerts on the Mobile Application on your mobile telephone or other handheld devices.

Usage

You will not, or you will not attempt to circumvent our security or network, including accessing data not intended for you, log into a server or account you are not expressly authorized to access.
You will not execute any form of network monitoring which will intercept data not intended for you.
You will not extract data from or hack into our Mobile Applications.
You will not intercept or attempt to intercept any communications transmitted by way of a telecommunications system.

Apple and Android Devices

The following terms apply when you use a mobile application obtained from either the Apple Store or Google Play Store (each an “App Distributor”):

The license granted to you for our mobile application is a license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service.
We are not responsible for providing any maintenance with respect to our Mobile
If any of the provisions of the Apple Terms or Google Terms conflict with these Terms and Conditions, these Terms and Conditions will control, solely to the extent such terms apply to the Application.

Analytics Data collections

As detailed in our Privacy policy, we may collect information while using our mobile applications. We will process and analyse the data using our backend Systems and generate analytics visual reports (the “Reports”), including graphs and statistics of the data collected.

Activity Tracking

The Services ("Activity Tracking Services") offered by our mobile applications are intended to provide you with information to encourage and promote good driving behaviour. Some of the services are aimed at tracking your speed, acceleration, braking data, and other data, as mentioned in our Privacy Policy.

The data and information provided by the Activity Tracking Services are intended to be a representation of your driving behaviour but may not be completely accurate.

By using Activity Tracking Services, you acknowledge and agree that we are not responsible or liable for any inaccuracy in such data.

Sanctions Clause

You confirm that your access to and use of our websites, our mobile applications, or online facilities is not in breach of and will not expose Zensung or its subsidiaries or its affiliates to any sanction, prohibition, or restriction under the United Nations resolutions or the trade or economic sanctions, laws or regulations of Singapore.
